Vendor Terms and Conditions Effective Date: 22/08/2025 Company: Cyberkida Digiera Private Limited (“Company,” “we,” “our,” or “us”) Product: DigitalHain (WhatsApp API Panel) Contact Email: hi@digitalhain.com 1. Acceptance of Terms By registering as a vendor or reseller of DigitalHain services, you (“Vendor,” “Partner,” or “Reseller”) agree to abide by these Terms and Conditions. If you do not agree, you must not engage in selling, distributing, or reselling our services. 2. Appointment of Vendor Vendors are authorized to promote, distribute, and resell DigitalHain services under the terms set by Cyberkida Digiera Pvt. Ltd. This authorization is non-exclusive and may be revoked at any time. 3. Vendor Responsibilities Vendors agree to: Accurately represent DigitalHain’s features, pricing, and usage policies. Comply with WhatsApp’s Business Policy and Terms of Service. Provide proper support and communication to their customers. Not engage in misleading promotions, false advertising, or unauthorized modifications. Bear full responsibility for the customers they onboard via DigitalHain. 4. Pricing and Payments The Company will provide vendors with wholesale/reseller pricing. Vendors may set their own retail pricing for their customers, provided it does not misrepresent the Company’s services. Payments from vendors to the Company must be timely and as per agreed terms. All fees are non-refundable unless explicitly stated. 5. Data Handling and Confidentiality Vendors must protect customer data and ensure compliance with applicable data protection laws. Vendors must not misuse, resell, or disclose customer information obtained through DigitalHain. All trade secrets, pricing structures, and business strategies shared with vendors are confidential and must not be disclosed without written consent. 6. Restrictions Vendors must not: Sell services to industries or individuals prohibited under WhatsApp’s policies. Use DigitalHain for illegal, abusive, or fraudulent activities. Attempt to reverse-engineer, copy, or clone DigitalHain’s platform. Claim ownership of the DigitalHain brand or represent themselves as the parent company. 7. Intellectual Property All intellectual property, trademarks, and branding of DigitalHain remain the property of Cyberkida Digiera Pvt. Ltd. Vendors may only use approved marketing materials and must not alter logos, names, or official assets without permission. 8. Liability and Indemnity Vendors are solely responsible for the conduct of their customers. The Company is not liable for disputes, refunds, or issues between vendors and their customers. Vendors agree to indemnify and hold harmless Cyberkida Digiera Pvt. Ltd. against any claims, damages, or liabilities arising from their activities. 9. Termination The Company may terminate vendor agreements at any time, with or without cause. Upon termination, the vendor must immediately stop using DigitalHain branding, reselling services, and accessing the vendor dashboard. Outstanding payments must be cleared within [X days] of termination. 10. Amendments The Company reserves the right to modify, update, or change these Vendor Terms and Conditions at any time without prior notice. Vendors are responsible for reviewing these Terms periodically. Continued engagement as a vendor constitutes acceptance of the updated Terms. 11. Governing Law and Jurisdiction These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Gurugram (HR). 12.
